Terms of Service

These Terms of Service (“Terms”) govern your access to and use of the EditionDesk website, the founding-member reservation, and the EditionDesk software once it is released (together, the “Service”). By reserving a founding spot or otherwise using the Service, you agree to these Terms. Please read them together with our Privacy Policy and Refund & Cancellation Policy, which form part of these Terms.

1. Who you are contracting with

EditionDesk is operated by Vendelín Kukla, a self-employed entrepreneur (OSVČ — “osoba samostatně výdělečně činná”) registered in the Czech Republic. Company ID (IČO): 22129791. Registered place of business: Sladkovského náměstí 309/6, Žižkov, 130 00 Praha 3, Czech Republic. Not a VAT payer (není plátcem DPH). Contact: support@editiondesk.com.

2. What EditionDesk is

EditionDesk is a planned Shopify app that automatically assigns each order its edition number, emails the buyer a branded Certificate of Authenticity, and keeps a buyer-to-number ledger so editions can’t be oversold. EditionDesk is in active development and has not yet launched. When you reserve today you are purchasing a founding-member reservation: a locked founding rate and first access on the day the software ships. We give an honest, good-faith estimate of the launch but do not guarantee a specific release date or specific features, all of which may change as we build.

3. Founding-member reservations

  • Your card is charged once today through our payment processor (Stripe). This single payment covers your first month of EditionDesk when it launches and locks your founding rate — it is not a recurring subscription during the pre-launch period, and you are not billed monthly while we build.
  • You receive first access to EditionDesk when it launches, at the rate you locked in.
  • Your reservation is fully refundable at any time before launch, and for 14 days after launch, no questions asked — see our Refund & Cancellation Policy.

4. Pricing, billing and taxes

  • Prices are shown on the website in US dollars (USD). Your founding reservation is a one-time payment that covers your first month at launch; after that included month, the Service continues as a monthly subscription at your locked founding rate until you cancel.
  • Your founding rate is locked for as long as your subscription remains active and uninterrupted.
  • Payments are processed by Stripe; by subscribing you also agree to Stripe’s terms. We do not store your full card details.
  • Vendelín Kukla is not a vat payer (není plátcem dph); prices are final and no Czech VAT is added. You are responsible for any taxes, duties or charges that may apply in your own country.
  • You can cancel at any time to stop future charges. Cancellation and refunds are governed by our Refund & Cancellation Policy.

5. Acceptable use

You agree not to:

  • use the Service in violation of any applicable law or third-party rights;
  • attempt to gain unauthorised access to, disrupt, reverse-engineer or overload the Service or its infrastructure;
  • resell, sublicense or misrepresent the Service as your own; or
  • use the Service to send unlawful, infringing or harmful content.

6. Pre-launch nature & availability

Because EditionDesk is pre-launch, the Service is provided on an evolving basis. We aim for high availability once live but do not promise uninterrupted or error-free operation, and we may change, suspend or discontinue features. If we discontinue the Service entirely before launch, we will refund your reservation in full.

7. Intellectual property

EditionDesk, its software, branding and content are owned by Vendelín Kukla and protected by law. We grant you a limited, non-exclusive, non-transferable right to use the Service for your own business. You retain all rights to the data and content you provide, including your artwork, logos and certificates.

8. Disclaimers

To the fullest extent permitted by law, the Service is provided “as is” and “as available” without warranties of any kind, whether express or implied, including fitness for a particular purpose. EditionDesk records and emails certificates of authenticity but is not a guarantor or appraiser of any artwork. This does not affect mandatory statutory rights you have as a consumer (see section 12).

9. Limitation of liability

To the fullest extent permitted by law, Vendelín Kukla will not be liable for any indirect, incidental, special or consequential damages, or for lost profits, revenue or data. Our total aggregate liability arising out of or relating to the Service is limited to the amount you paid us in the 12 months before the event giving rise to the claim. Nothing in these Terms limits liability that cannot be limited by law (including liability for death, personal injury, or intentional or grossly negligent conduct), nor your mandatory consumer rights.

10. Termination

You may stop using the Service and cancel your subscription at any time. We may suspend or terminate your access if you materially breach these Terms. On termination, the rights granted to you end; sections that by their nature should survive (e.g. intellectual property, disclaimers, limitation of liability) continue to apply.

11. Changes to these Terms

We may update these Terms as the Service develops. If we make material changes we will post the updated Terms here and update the “Last updated” date. Continued use after changes take effect constitutes acceptance. If a change materially reduces your rights, you may cancel and request a refund under the founding guarantee where it still applies.

12. Your consumer rights

Where you purchase as a consumer in the European Union, you have a statutory right to withdraw from a distance contract within 14 days. Our founding guarantee is more generous than this and applies in addition to, not instead of, your statutory rights. Mandatory consumer-protection law of your country of residence is unaffected by these Terms.

13. Governing law & dispute resolution

These Terms are governed by the laws of the Czech Republic, without prejudice to the mandatory consumer-protection rules of your country of residence. We hope to resolve any issue directly — please email support@editiondesk.com first.

As a consumer you may also use the Czech Trade Inspection Authority (Česká obchodní inspekce, ČOI) as an out-of-court dispute-resolution body — www.coi.cz — and the European Commission’s Online Dispute Resolution platform at ec.europa.eu/consumers/odr.
